Roof Hawk

These Terms apply to services provided by Roof Hawk Ltd (“Roof Hawk”, “we”, “us” or “our”), company number 16695314, registered in England and Wales.

Please read them before booking a service.

1.About our services

Roof Hawk provides drone-based roof and building surveys, aerial imagery and related services.

Depending on what you order, we may provide video, photographs or a Roof Hawk report, or introduce you to an independent specialist, such as a roofing contractor or chartered surveyor, who can provide a report or assessment.

Your quotation or booking confirmation will set out what is included in your service.

In these Terms:

  • “consumer” means an individual buying our services wholly or mainly for purposes outside their trade, business, craft or profession;
  • “business customer” means anyone else; and
  • “deliverables” means the video, photographs, reports and other materials we supply to you as part of the service.

2.Bookings and quotations

Our quotations are based on the information available to us at the time, including the property, location, scope and requested deliverables.

Quotations are valid for 30 days unless the quotation states otherwise.

We may revise a quotation if that information is materially inaccurate or incomplete, the scope changes, or circumstances arise that could not reasonably have been identified when the quotation was prepared. If we need to revise the price after you have booked, we will tell you and you may cancel without charge.

A booking becomes binding when we accept it or begin providing the agreed service at your request.

If your quotation or booking confirmation conflicts with these Terms, the quotation or booking confirmation will apply.

3.Prices and payment

The price and payment terms will be shown in your quotation, booking confirmation or invoice.

All our prices, for consumers and businesses, are shown exclusive of VAT. VAT will be added at the applicable rate and shown separately on your quotation, booking confirmation and invoice.

We may withhold deliverables while an amount that is due remains unpaid.

If you are a business customer:

  • you must pay all amounts due in full, without any deduction or set-off;
  • we may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998; and
  • we may suspend the service until any overdue amount is paid.

4.What a drone survey is

Unless we expressly agree otherwise, a Roof Hawk drone survey captures visual, non-intrusive imagery of external areas that can safely and lawfully be viewed by the drone.

We use reasonable care and skill in carrying out our surveys and capturing the agreed imagery.

A drone survey does not involve lifting or removing roof coverings, opening up the building or inspecting concealed areas.

Some defects may be hidden, intermittent, obscured or not visually apparent at the time of the survey. A drone survey therefore cannot guarantee that every defect, source of a leak or maintenance issue will be identified.

Our imagery, and any Roof Hawk report, relate to the condition that was reasonably visible at the time of the survey.

Where further investigation is appropriate, you may need advice from a suitably qualified contractor, building surveyor, structural engineer or other specialist.

Unless you have purchased a Roof Hawk report, our service is to capture and deliver the agreed imagery. We do not interpret the imagery, identify or report defects, or advise on the condition of the property. Identifying defects from the imagery is a matter for you or a suitably qualified specialist.

5.Roof Hawk reports

Where you purchase a report prepared by Roof Hawk, it will be based on the imagery and information reasonably available to us and the scope of the service ordered.

Unless expressly stated otherwise, a Roof Hawk report is a visual assessment. It is not a structural survey, building survey, valuation or guarantee of the condition or future performance of the property.

Recommendations or observations are based on what can reasonably be identified from the available imagery.

6.Independent specialist reports and services

At your request, Roof Hawk may introduce you to an independent specialist, such as a roofing contractor or chartered surveyor, or arrange a report, assessment, quotation or other service from one.

Where a report or professional opinion is identified as being provided by an independent specialist, the specialist, not Roof Hawk, is responsible for its content, accuracy, conclusions, recommendations and professional advice.

Roof Hawk is responsible for taking reasonable care in arranging the specialist’s involvement and in the imagery and information we supply to them. We are not responsible for errors, omissions, diagnoses, recommendations or advice in the specialist’s report, or for loss arising from reliance on it.

Roof Hawk does not independently verify or guarantee a specialist’s conclusions unless we expressly agree otherwise in writing.

Roofing contractors

Where we arrange a report from a roofing contractor, we may provide our imagery to the contractor, pass communications between you, collect payment, manage the process and deliver the resulting report. We may also make minor administrative or presentational corrections. Doing so does not make the contractor’s opinion, diagnosis, recommendation or report the opinion of Roof Hawk.

A roofing contractor’s report is a contractor’s practical assessment based on the information and imagery available to them. It is not a chartered surveyor’s report or other regulated professional survey unless expressly stated otherwise.

Neither the roofing contractor nor Roof Hawk provides any guarantee or indemnity in relation to a roofing contractor’s report. The report does not guarantee the condition of the roof or that every defect has been identified, and it is not backed by professional indemnity insurance.

If professional advice backed by professional indemnity insurance is important to you, you should consider instructing an appropriately qualified and insured professional, such as a chartered surveyor, and confirm the scope and insurance applicable to their appointment.

Chartered surveyors and other professionals

Where we introduce you to a chartered surveyor or other professional, you contract with them directly, under their own terms. Roof Hawk is not a party to that contract and does not take payment for their services. At your request, we may supply our imagery to them.

They are responsible for their own professional work and advice. Any professional qualifications or insurance relating to their service belong to them and do not extend to Roof Hawk.

Nothing in this section excludes any liability of Roof Hawk that cannot lawfully be excluded.

7.Survey dates, weather and safety

Drone operations depend on weather, airspace, site conditions, access, public safety and other operational factors.

Unless expressly guaranteed in writing, survey dates and delivery times are estimates.

The pilot has final authority to decide whether a flight can be carried out safely and lawfully. We may postpone, alter or stop a survey where conditions make it unsafe or unlawful to continue.

If this happens, we will normally arrange another suitable opportunity to complete the work.

A reasonable postponement for weather, safety, airspace or other circumstances outside our control is not a breach of these Terms.

8.Airspace and permissions

Some locations require additional aviation or site permissions.

Where this applies, the survey may take longer to arrange and additional charges may apply. Where we know these charges apply, we will include them in your quotation. Otherwise, we will agree them with you before they are incurred.

Permissions are ultimately controlled by the relevant authority. We cannot guarantee that a third party will grant permission by a particular date or at all.

We will not carry out a flight unless we consider it lawful and safe to do so.

9.Information and access

You must provide reasonably accurate information about the property, the required scope and any site conditions or hazards of which you are aware that could materially affect the survey.

You must also have authority to commission the survey or otherwise be entitled to instruct us to carry it out.

The pilot will determine appropriate operating, take-off and landing positions. We cannot guarantee that every requested viewpoint will be available where safety, access, physical obstruction or legal restrictions prevent it.

If you are a business customer and the property is occupied by others, such as tenants or residents, you are responsible for giving them reasonable notice of the survey where appropriate, and for arranging any access you have agreed to provide.

10.Delivery and storage

We normally provide deliverables electronically through a download link, online platform, cloud service or another suitable method.

Please check your deliverables promptly and tell us within 14 days of delivery if anything appears incomplete, so that we can re-fly where needed while conditions are comparable. This does not affect your statutory rights.

Deliverables will be available to download for six months from delivery. We may keep them for longer, but we do not guarantee this. It is your responsibility to download and keep your own copies.

11.Ownership and use of survey material

Roof Hawk owns the photographs, video and other survey material we create.

Once the relevant service has been paid for, you receive a perpetual, non-exclusive, royalty-free licence to use, copy and share the deliverables for purposes connected with the relevant property, portfolio or project.

This allows normal use of the material with people such as contractors, surveyors, insurers, managing agents, landlords, clients, purchasers, sellers, lenders and other relevant parties.

Deliverables are prepared for the customer named in the booking. You may share them as described above, but no one else may rely on a Roof Hawk report, and we owe no duty of care to anyone other than you. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.

Ownership of the underlying material does not transfer to you unless we expressly agree otherwise in writing.

Roof Hawk may retain, use, develop and commercialise survey material and information derived from it, including to develop and improve our services and technology. This may include artificial-intelligence and computer-vision systems.

Where survey material contains personal information, our use of that information will be subject to applicable data-protection law and our Privacy Policy.

If you are a consumer, we will not identify your property or name you in our marketing without your permission. If you are a business customer, we may name you as a client unless you ask us not to.

12.Cancellation

Unless your quotation states otherwise, you can cancel or rearrange your survey by contacting us at least 24 hours before the scheduled survey time. We will not charge you for this, except for any costs described in clause 13.

If you are a consumer and book online, by telephone or email, or away from our business premises (for example at the property), you also have a statutory 14-day cancellation period.

If you ask us to complete your survey within the 14-day cancellation period, you will lose the right to cancel once the survey has been fully carried out. We will ask you to confirm this before we start.

Nothing in these Terms affects your statutory consumer rights.

13.Cancellation costs and cancellation by us

If you cancel after we have incurred non-refundable third-party costs that you agreed to, such as permission fees, those costs may remain payable. This does not affect your statutory cancellation rights.

If we cancel a service before it has been provided, for reasons not caused by you, we will refund any amount paid for the part of the service that will not be provided.

14.Our responsibility to consumers

We provide our own services with reasonable care and skill.

Nothing in these Terms excludes or restricts any statutory consumer right or any liability that cannot lawfully be excluded.

We are responsible for foreseeable loss caused by our breach of contract or failure to use reasonable care and skill. We are not responsible for losses that were not reasonably foreseeable when the contract was made or for business losses where you purchased the service as a consumer.

The limitations inherent in a visual drone survey described in these Terms form part of the scope of the service you are purchasing. They do not exclude our responsibility to carry out that service with reasonable care and skill.

15.Our responsibility to business customers

This section applies to business customers.

Roof Hawk will not be liable for:

  • loss of profit, revenue, business, opportunity, anticipated savings or goodwill;
  • indirect or consequential loss;
  • loss arising from reliance on a report, assessment, recommendation, quotation or advice supplied by an independent third-party specialist; or
  • loss arising from any defect, leak or other issue with the property that was not reasonably visible at the time of the survey, or that was not identified from the imagery, except where you purchased a Roof Hawk report and the issue should reasonably have been identified in it.

Roof Hawk is not responsible for the acts, omissions, professional opinions or advice of independent specialists merely because Roof Hawk introduced the specialist, arranged their involvement, supplied imagery to them, collected payment or delivered their report.

If a Roof Hawk service is not performed with reasonable care and skill, we will first re-perform the affected part of the service at no extra charge. If re-performance is not practicable, we will refund the fees paid for the affected part.

Subject to the final paragraph of this section, Roof Hawk’s liability arising out of or in connection with a particular booking or project is limited as follows:

  • for physical loss of or damage to tangible property, the greater of £50,000 per event and the amount paid under our insurance in respect of that event; and
  • for all other loss, in total, the fees paid or payable to Roof Hawk for the Roof Hawk services giving rise to the claim.

Where loss is caused partly by Roof Hawk and partly by others, including you, a specialist or another contractor, Roof Hawk’s liability will be limited to the proportion of the loss that it is just and equitable for Roof Hawk to bear, having regard to its share of responsibility.

Any claim that the imagery was not captured or delivered with reasonable care and skill, for example because agreed areas are missing or the imagery is not of usable quality, must be notified to us in writing within three months of delivery. Any other claim must be notified in writing, with reasonable details, within 12 months of the date of the survey. We will have no liability for a claim that is not notified within the relevant period.

You will indemnify Roof Hawk against claims by third parties arising from your lack of authority to commission the survey, or from site conditions or hazards you knew about but did not disclose to us.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or restricted.

16.Events outside our control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including severe weather, aviation restrictions, emergency activity, government action, transport disruption, failure of third-party infrastructure or telecommunications, or similar events.

We will take reasonable steps to minimise their effect.

17.Complaints

If something has gone wrong, please contact us promptly so we can investigate.

Please include the property address and relevant booking details.

18.Personal information

We handle personal information in accordance with our Privacy Policy and applicable data-protection law.

19.Changes to these Terms

We may update these Terms from time to time.

Unless required by law or agreed with you, changes will not retrospectively alter the terms applying to a booking already accepted.

20.General

We may use suitably qualified subcontracted pilots and personnel to provide our services. We remain responsible for the services they perform on our behalf.

We may transfer our rights and obligations under these Terms to another organisation, for example on a sale of our business. If you are a consumer, we will tell you, and you may cancel any booking not yet performed and receive a refund of anything paid for it.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

If we do not immediately enforce a right under these Terms, that does not mean we have waived it.

These Terms and any quotation, booking confirmation or other written terms expressly incorporated into the booking form the agreement between you and Roof Hawk for the relevant service.

If you are a business customer:

  • these Terms apply instead of any terms you seek to impose, including terms in a purchase order, unless we agree otherwise in writing;
  • the agreement described above is the entire agreement between us, and you confirm you have not relied on any statement or representation that is not set out in it. This does not limit liability for fraud; and
  • during the service and for six months after its completion, you will not engage or solicit any pilot or other person who has worked on your project as a Roof Hawk employee or subcontractor without our written consent. If you do, you will pay us a fee equal to 20% of the annual fees or remuneration you agree to pay them.

21.Governing law

These Terms are governed by the law of England and Wales.

If you are a consumer, this does not deprive you of any mandatory legal protections or jurisdiction rights that apply where you live.

For business customers, the courts of England and Wales have exclusive jurisdiction unless otherwise agreed in writing.
